This Purchase Agreement (“Agreement”) is made between A to Z Website Solutions (the “Company”) and the individual or business purchasing a business website design package (the “Client”).

By placing an order for any business website design package (Starter, Growth, or Authority), the Client confirms they have read, understood, and agree to be bound by this Agreement.

The Company reserves the right to update or amend this Agreement at any time. Any updates will be communicated via email and displayed on the Company website.

These policies form part of this Agreement and should be read in conjunction with it.

SERVICES & ACCEPTANCE

The Company reserves the right to refuse to design, develop, or host any material it considers unsuitable, inappropriate, or of questionable legality. The Company may also make reasonable adjustments to maintain its professional standards.

PAYMENT TERMS

Payment is required as follows:

• 50% upfront payment to secure the project
• Remaining 50% due within 14 days of the website being published online

No exceptions apply.

If payment is not received, the Company reserves the right, at its sole discretion, to suspend or withhold services. Continued non-payment may result in legal action.

Late Payment

If the remaining balance is not paid by the due date, the Company reserves the right to charge interest on the overdue amount at a rate of 8% above the Bank of England base rate, calculated daily from the due date until payment is received in full.

CHARGEBACKS & PAYMENT DISPUTES

By making payment, the Client confirms their commitment to the project and agrees not to initiate any chargeback, payment reversal, or dispute without first contacting the Company to attempt a resolution.

In the event of a chargeback, payment dispute, or reversal:

• The Company reserves the right to immediately suspend all services, including taking the website offline where applicable
• All work completed remains the property of the Company until full payment has been received
• The Client will be liable for the full outstanding balance, including any chargeback fees, administrative costs, and recovery expenses incurred by the Company

If a chargeback or dispute is initiated after work has commenced, this will be treated as a material breach of this Agreement, and the Company reserves the right to pursue legal action to recover all amounts owed.

The Client agrees that the Company may provide evidence of work completed, communications, and delivery milestones to the relevant payment provider in order to dispute any chargeback or claim.

GUARANTEES

100% Satisfaction Guarantee

The Company will continue working with the Client through the agreed revision process until the Client confirms satisfaction via the Website Satisfaction Form.

This guarantee is subject to:

• The Client providing clear and timely feedback within the agreed timeframes
• The project remaining within the original agreed scope

100% Money-Back Guarantee

If the Company fails to deliver the agreed service as outlined in the project scope, the Client may request a full refund.

This guarantee applies only where:

• The Company has not delivered the agreed core service
• The Client has complied with all terms of this Agreement, including providing required information and feedback

This guarantee does not apply in cases of:

• Change of mind
• Delays caused by the Client
• Requests outside the agreed scope
• Projects where substantial work has already been completed in line with the agreed scope

CANCELLATION POLICY

All cancellation requests must be submitted in writing via the Company contact form.

• No design files or project materials will be provided upon cancellation
• The website and hosting account may be removed from the server
• Domain registration fees are non-refundable

Any domain name purchased will remain in the Client’s name and can be transferred to another provider if required.

OWNERSHIP & INTELLECTUAL PROPERTY

All website design elements, including code, design, text, and graphics, remain the property of the Company until full payment has been received.

Until full payment is made, the Client may not:

• Copy, download, reuse, or modify any part of the work
• Replicate the website or its elements for another project

Unauthorised use will be treated as a breach of this Agreement and may result in legal action.

PROJECT START & DELIVERY

Work will commence once:

• The order has been placed
• The initial payment has been made
• The Client has completed the required online questionnaire

Typical project timelines are 3–6 weeks, depending on project scope and the Client providing required content.

Delays caused by the Client do not affect payment obligations.

Failure to Provide Information

The Client agrees to provide clear, accurate, and timely information through the required questionnaire and any follow-up requests.

If the Client fails to provide sufficient instructions, content, or direction required to proceed with the project, the Company reserves the right to immediately terminate the project.

In such cases:

• Any payments made are non-refundable
• The Company is not obligated to complete the project

REVISIONS, FEEDBACK & PROJECT TIMELINES

The Client is entitled to unlimited revisions, provided feedback is submitted within 14 calendar days of each design or update being delivered.

If feedback is not received within this 14-day period, the Company reserves the right to:

• Proceed with the project to completion based on the latest version, or
• Place the project on hold until feedback is received

If revisions are requested after the project has been marked as complete or after extended inactivity, additional work may be charged at:
£50 per hour (minimum 1 hour)

Project Inactivity & Auto-Closure

• If no response or required input is received from the Client for 30 days, the project will be placed on hold
• If no response is received for 60 days, the project will be considered closed

Once a project is closed:

• Any remaining work will not be completed
• A restart fee may apply
• The Company is not obligated to continue under the original timeline

TESTING & ACCEPTANCE

The Client is responsible for testing the website upon completion.

Any bugs or errors reported within 14 days of launch will be corrected by the Company in line with the agreed functionality.

The Client must complete a Website Satisfaction Form confirming they are fully satisfied with the website design and the service provided before final project sign-off.

LIABILITY

The Company shall not be held liable for:

• Any losses resulting from website errors or omissions
• Delays or failure of content to appear at specific times or locations
• Interruptions caused by third-party services or factors beyond its control

CLIENT CONTENT RESPONSIBILITY

The Client confirms that all materials provided (text, images, trademarks, etc.):

• Are owned by the Client, or
• Are used with proper permission

The Client accepts full responsibility for ensuring usage rights and agrees to indemnify and hold harmless the Company from any related claims.

AUTHORITY BLOG POSTING CAMPAIGN (AUTHORITY PACKAGE ONLY)

As part of the Authority Package, the Company will research, write, and publish blog content to support SEO and AI visibility.

Content & Publishing

The Company may publish content directly to the Client’s website without prior approval. The Client may request reasonable edits or removal after publication.

No guarantees are made regarding rankings, traffic, enquiries, or results. Outcomes may vary due to competition, industry, and external factors

The Company is not responsible for changes in search engines, AI platforms, or third-party services that affect performance.

The Client is responsible for reviewing content (if desired) and requesting any corrections.

The Company is not liable for any loss, damage, or outcomes resulting from published blog content.

DOMAIN & HOSTING

The Company will:

• Register one domain name in the Client’s name
• Arrange hosting through a third-party provider

The Company does not guarantee the performance or reliability of third-party services.

Hosting services may be subject to separate terms with the provider.

FREE 3-YEAR WEBSITE REFRESH

The free website refresh after 3 years is available only to Clients who purchase the Growth or Authority packages, and is subject to the following conditions:

• The website must remain hosted with the Company
• The refresh will be based on the original number of pages
• Existing website content will be reused

Additional pages or changes will incur additional charges.

If the website is moved away from the Company’s hosting, this offer becomes void.

MAINTENANCE & SUPPORT

The Company provides free maintenance and support for a limited period based on the package purchased:

• Starter Package: 3 months
• Growth Package: 6 months
• Authority Package: 10 months

This support period begins from the date the website goes live.

During this time, the Company will provide assistance to ensure the website continues to run smoothly, including:

• Website backups
• Software and plugin updates
• Security updates and monitoring
• Performance and speed checks
• General support, troubleshooting, and guidance

The Company will respond to reasonable support requests, answer questions, and resolve issues where applicable.

After the included support period ends, ongoing maintenance and support will require the Client to purchase a Website Maintenance Care Plan.

Support does not include new design work, new features, or changes outside the original project scope.

WEBSITE EDITING & CLIENT CHANGES

The Client will be provided access to a content management system (CMS) to edit and manage their website.

The Company is not responsible for any issues caused by Client-made changes after the website has been delivered.

SERVICE INTERRUPTIONS

The Company does not guarantee uninterrupted service and is not liable for disruptions caused by circumstances beyond its control, including but not limited to technical failures, third-party outages, or force majeure events.

PORTFOLIO & PROMOTION

The Company may:

• Display the completed website in its portfolio
• Use elements of the design for promotional purposes

NON-SOLICITATION

During the term of this Agreement and for a period of twelve (12) months following its termination or completion, the Client agrees not to directly or indirectly:

• Solicit, recruit, or attempt to solicit or recruit
• Engage, hire, or retain
• Encourage or induce to leave

any employee, contractor, or agent of the Company, whether on a full-time, part-time, freelance, consultancy, work-for-hire, or any other basis.

This restriction applies whether or not such individual was directly involved in the Client’s project under this Agreement.

CONFIDENTIALITY

Both parties agree to keep confidential any non-public information shared during the project.

This does not include information that is publicly available once the website is live.

SEVERABILITY

If any provision of this Agreement is found to be unlawful or unenforceable, the remaining provisions shall remain valid and enforceable.
